Annual Report filings for Wyoming LLCs
After you form an LLC in Wyoming, you must file an Annual Report every year.
You need to file an Annual Report in order to keep your Wyoming LLC in compliance and in good standing with the Secretary of State.
Filing Fee (for most WY LLCs):
$60
The reason that we say for most LLCs, is that most Wyoming LLCs have less than $250,000 in assets located in Wyoming.
Filing Fee (if LLC has $250k+ in assets located in Wyoming):
If your LLC has more than $250,000 in assets located in Wyoming, then its Annual Report fee will be higher. The formula is $0.0002 multiplied by the total value of the LLC’s assets.
For example, if the LLC has $300,000 of assets located in Wyoming, then its Annual Report fee will be $60 (300,000 x 0.0002). If the LLC has $400,000 of assets, its Annual Report fee will be $80 (400,000 x 0.0002), and so on.
Note: $0.0002 is actually 2/100ths of a penny.
Good news, the Wyoming Annual Report online filing system has a built-in calculator, so you’ll just need to enter the value of the LLC’s assets, and it will calculate its Annual Report fee for you.
What is considered an “asset”? What does “located in Wyoming” mean?
Note: These would be assets owned by your LLC, not assets owned by you.
Some examples of assets:
- cash
- raw materials
- inventory
- real estate
- machinery
- vehicles
- equipment
- securities (stocks, bonds, mutual funds, etc.)
- intangible assets (patents, trademarks, etc.)
Note on location of assets:
For the purposes of the Wyoming LLC Annual Report, the physical assets would need to be located in Wyoming. And similarly, the intangible assets and securities would also need to be “located” in Wyoming. However, determining the physical location of intangible assets and securities is a bit more complicated.
But to put it simply, for most readers (especially those that don’t reside in Wyoming), the chance you have intangible assets in Wyoming in quite rare.
The physical location of securities is typically where the custodial institution (such as a bank or brokerage) holds them. And the physical location of intangible property is typically where the business is actually located (which doesn’t mean the state where it’s registered; it’s the location where you run the business from).
Annual Report Fee is also known as “License Tax”:
FYI, in Wyoming, the Filing Fee is also known as a License Tax.
How to file an LLC Annual Report in Wyoming:
You can file your LLC’s Annual Report online or by mail.
Either way, you’ll first be required to fill out the Annual Report online. After that, you can:
- Submit the filing electronically and pay online, or
- Print the form and mail it in along with a check or money order
LLC University® recommendation:
We recommend submitting the Annual Report electronically and paying the fee online as it’s easier and faster.
However, if you are not very “tech-comfortable”, then we recommend printing the Annual Report form out and mailing it to the state along with your payment.
Must File by Mail if your Annual Report fee is greater than $500:
If your Annual Report fee is greater than $500 (meaning the LLC has $2,500,000 or more in assets located in Wyoming), you cannot file your Annual Report online. Instead, a message will appear on the state’s website instructing you to print the Annual Report and file it by mail. You’ll find more information on this later in the lesson.
Processing Times:
If you file your Annual Report online, it will be processed and approved immediately.
If you file your Annual Report by mail, it will be processed and approved in 3-5 business days.
Due Date for Wyoming LLC Annual Report:
Your Wyoming LLC’s Annual Report needs to be filed every year. It is due before the first day of your LLC’s formation month.
For example, if your LLC was formed on June 10th, your Annual Report is due before June 1st every year.
Your first Annual Report is due the year following the year of formation.
For example, if your LLC was approved on June 10th 2025, then your first Annual Report will be due before June 1st 2026. Then it is due before June 1st every year after that.
How early can an Annual Report be filed for Wyoming LLC?
You can file up to one year in advance.
For example, you can file and pay your 2026 Annual Report in 2025.
Wyoming’s online filing system is intelligent and it knows what years have already been paid and what years can be paid (for early filings).
Email reminders:
The state will send you a series of 3 email reminders. The first is sent 60 days before the due date. The second is sent 30 days before the due date. And the third one is sent 10 days before the due date.

If you did not enter an email address during the online filing of your Articles of Organization, or if you’d like to add your email address to the state’s notification system, you can find instructions here: Email Address Info.
Penalty for Wyoming LLC Annual Report late filings:
If the Annual Report is not filed 60 days after the deadline, the state may dissolve (shut down) your LLC.
Important (set a reminder):
The #1 reason that LLCs are shut down by the Wyoming Secretary of State is for failure to file an Annual Report.
And, even if you do not receive any of the email reminders, it is still your responsibility to file your Wyoming LLC Annual Report.
For that reason, we strongly recommend putting a repeating reminder on your phone and computer, as well as writing it out and putting it somewhere you’ll see it.
How to Complete the Wyoming LLC Annual Report Online
Warning: You are only given 30 minutes to complete the online filing. If you do not finish within the allotted time, your session will expire and you’ll have to start from the beginning.
Get Started:
Go to Wyoming’s Online Annual Report page.
Click the Annual Report logo on the right or click the “File or Print Your Annual Report Now” red link (also to the right of the page).
Enter your LLC’s Filing ID in the “Filing ID” search box and click the “Next” button.
If you don’t know your LLC’s Filing ID, you can find it by searching your LLC’s name in the Wyoming Business Center.
On the next page, verify that you’re actually looking at your Wyoming LLC, then click the “Next” button at the bottom.
1. MAILING ADDRESS
Review your LLC’s Mailing Address. If you need to make changes, you can do so here.
If you don’t need to make any changes, just click the “Next” button to proceed.
What is the Mailing Address?
The Wyoming Secretary of State sends most things by email, but if they do need to send something by mail, they will use the mailing address you designate.
This address can be located in any state. It doesn’t have to be a Wyoming address, although it can be.
Need to change your Registered Agent?
As a reminder, your LLC’s Registered Agent is the address used for Service of Process (legal mail and court documents). If you need to change your LLC’s Registered Agent, you cannot do that via the Annual Report. Instead, you must file a Statement of Change by Business Entity and file it by mail.
2. PRINCIPAL ADDRESS
Review your LLC’s Principal Office Address. If you need to make changes, you can do so here.
Email:
This is the email address the state is using to send you Annual Report reminders. If you need to update the email address, you can do so here.
If you need to add additional email addresses, make sure to separate them with a semicolon. For example: “bob@email.com; sally@email.com; joseph@email.com”
Once finished, click the “Next” button to proceed.
What is the Principal Office Address?
This address can be thought of as your LLC’s “office” address or where your business is located. This address can be an actual office address (if applicable), or it can be a home address, a friend or family member’s address, or any address for that matter.
This address can be located in any state. It doesn’t have to be a Wyoming address, although it can be.
This address may be the same as your mailing address, although it doesn’t have to be.
3. FILING FEES
If your LLC does not have any assets located in Wyoming:
If the LLC assets are located in another state and/or it doesn’t have any assets located in Wyoming, you don’t have to update or calculate anything on this page.
Just leave all the “0s” in place and click the “Next” button to proceed.
If your LLC has assets located in Wyoming:
List the total value of your LLC’s assets located in Wyoming, then click the “Calculate” button.
The total Annual Report fee due will then appear. Remember, if the LLC’s assets located in Wyoming total more than $250,000, you will be charged a higher fee.
Then click the “Next” button at the bottom to proceed.
If your Annual Report filing fee exceeds $500:
Remember, if your Annual Report filing fee is over $500, you can’t file your Annual Report online. Instead, you’ll need to submit your form and payment by mail. If that’s the case, please follow the file by mail instructions.
4. CONFIRM
Review the information you’ve listed for accuracy and double-check for any typos. If you need to make any changes, click the “Previous” button at the bottom or click on the applicable section link at the top.
Will you be filing online or by mail?
At this point, you’ll need to decide whether to file online or file by mail.
- If you’re filing online, simply click the “Continue” button at the bottom to proceed and follow the online filing instructions below.
- If you’re filing by mail, click the “Print” button (at the bottom and center), and then follow the file by mail instructions further down on this page.

5. SIGNATURE
Check off the box under “I Certify“, agreeing to the terms, and enter your name and email address.
Click the “Next” button to proceed.
6. PAYMENT
Your total payment will appear on this page.
Your total payment is the Filing Fee plus the online Convenience Fee.
Click the “Start Payment Process” and you’ll be redirected to the final checkout page.
Enter your credit or debit card information, the billing address associated with the card, your phone number, and your email address.
Then click “Process” to submit your Annual Report and pay the filing fee.
Congratulations, your Wyoming LLC’s Annual Report has been submitted to the state for processing! Now you just need to wait for approval.
Wyoming LLC Annual Report Approval (Online Filing):
When filing online, your Wyoming LLC’s Annual Report will be processed and approved immediately.
Immediately after submitting your payment, you’ll be able to download and save your Filing Receipt.
However, if you’d like a copy of your filed Annual Report, you’ll need to search your LLC name here, click on your LLC’s name, scroll to the bottom and click “History“.
Then click the small PDF icon to the right of your Annual Report to download a copy.
Note: You’ll only be able to access the 1st page of the Annual Report though, since the 2nd page (listing the financials and assets) is not a part of the public record.

Filing the Wyoming LLC Annual Report by Mail
Download, Print and Signature:
After hitting the “Print” button, a PDF of your completed Annual Report will be downloaded to your computer. Print out the form and then sign and enter your name on the lines provided.
Prepare Payment:
Prepare a check or money order for the total Annual Report fee (see “License Tax Due” in the upper left portion of the form).
Make your check or money order payable to the “Wyoming Secretary of State”.
Mail Documents:
Mail your completed Annual Report and the filing fee to:

Hi Muhammad, the due date for the Wyoming LLC Annual Report is first day of your LLC’s formation/approval month. However, there is a 60-day “grace period”, so if you file now, all should be good :) The instructions above on this page will walk you through the filing. Hope that helps.

Hey Alex, you’re very welcome! Besides, the Annual Report in Wyoming (and for non-US resident owners), if you have a Single-Member LLC, there is Form 5472 that gets filed with the IRS every year. Hi Hakan, great question. We just updated the page with a list of examples about what an asset is. But yes, money in your LLC’s bank account is an asset. But that bank account would need to have been opened at a Wyoming bank, and you’d need to have more than $250,000 USD in the account. Since you’re a non-US citizen, my guess is that your LLC’s cash isn’t located in Wyoming, and therefore, you can just pay the base fee of $60 for the LLC Annual Report.
Hello there, by assets what you mean? An office, warehouse, any physical precense?
I only had my LLC created in Wyoming and that’s it and am a foreign person and am not a US citizen. I just own an LLC in Wyoming, I have my EIN and a US Bank account. Do i still need to pay the Annual report fee to Wyoming? Or only file the form 5472 to IRS just to report my activity as a Foreign owned US LLC (Single Member/100% owner). Thanks in advance
Hi Nihat, you need to file both. The Wyoming LLC Annual Report is filed with the Wyoming Secretary of State. Form 5472 is filed with the IRS. The easiest way to think of an asset is a resource with economic value. For example, cash, accounts receivable, stocks, intellectual property, real estate, vehicles, equipment, furniture, etc. The fee for the LLC Annual Report is $50, unless the LLC has assets worth more than $250,000 in Wyoming. Edit: As of July 2021, the Wyoming LLC Annual Report is $60.

Hi Naser, you are correct. The name and email will be published on the Wyoming LLC Annual Report, which is on public records and available for download. The only “workaround” we recommend is hiring someone to file your Annual Report and making sure they list their email address as sign their name as an Authorized Person. Hope that helps.
